LICENSE AGREEMENT                                                  

In Simple Terms

When you purchase a sound effects product (single sound or bundle) from 344 Audio, you gain a perpetual single user license to use that high-quality audio in your creative projects—whether personal or commercial. These sounds are yours to shape and adapt, but you may not resell, create derivative sound effects to sell, redistribute, or share them without prior written consent. Your creativity deserves tools without limits, and that’s exactly what we provide.

License Agreement

This License Agreement ("Agreement") is entered into between 344 Audio Limited ("Licensor") and you ("Licensee") upon purchase, download, or use of any sound effects, audio packs, or related products ("Sounds") from 344 Audio Limited’s platform or affiliated distributors. By purchasing or using the Sounds, you agree to the terms outlined in this Agreement. If you do not agree, do not use the Sounds.

1. Definitions

• "Sounds": Audio products, sound effects, and related files provided by 344 Audio.
• "Licensee": The individual or entity purchasing and using the Sounds.
• "Licensor": 344 Audio Limited.
• "User Tier": Designates Single User Licenses and Multi-User Licenses for organisations.

2. Grant of License

• The Licensee receives a perpetual, worldwide, royalty-free, non-exclusive, and non-transferable license to use the Sounds for creative projects.
• Projects may include film, television, video games, podcasts, live performances, multimedia presentations, and advertisements.
• You may modify, edit, and combine the Sounds with other assets in your projects.

3. Restrictions

• You may not:
  
  • Resell, redistribute, or share the Sounds in their original or modified form.
  • Use the Sounds in sound libraries, sample packs, or similar offerings.
  • Use the Sounds to train AI, machine learning, or neural networks.
  • Share the Sounds with others unless additional licenses are purchased.
• You must include an original creative element (e.g., music, voiceover, or visual media) when using the Sounds.

4. Ownership and Copyright

• All Sounds remain the property of 344 Audio Limited and are protected by copyright laws.
• Purchasing a license does not transfer ownership to the Licensee. All rights not explicitly granted in this Agreement remain with 344 Audio Limited.

5. Liability and Warranties

• The Sounds are provided "as-is" without any warranties of merchantability or fitness for a particular purpose.
• Licensor is not liable for direct or indirect damages resulting from the use or inability to use the Sounds.

6. Breach of Agreement

• Breach of this Agreement results in immediate termination of the license, and the Licensee must destroy all copies of the Sounds.
• Unauthorised use may result in legal action, financial penalties, and liability for damages.

7. Refunds and Returns

• Sounds are non-refundable once purchased.

8. Governing Law

• This Agreement is governed by the laws of England and Wales. Disputes will be resolved exclusively in courts within this jurisdiction.

9. Additional Provisions

• Multi-User Licenses: For organisations with multiple users, separate agreements are required.
• Backup Copies: Licensees may create a backup of the Sounds for personal use.
• Force Majeure: 344 Audio Limited is not liable for any delays in product delivery caused by events beyond reasonable control.
